A proposal for Village Chiropractic and ai-leadership to develop Clinic Rubric Readiness
A web-based application designed to reduce the administrative work involved in implementing and maintaining the Alberta chiropractic rubric.
OPERATING THRESHOLD AND POTENTIAL
Approximately six clinics cover the modelled operating budget of $10,000; eight to ten provide an initial operating cushion. After break-even, each new clinic contributes approximately $3,013 in its first full year, then $1,600 per year thereafter. Potential net revenue if 40 per year of 400 clinics sign up: $300,000 plus.
Shared goals
First: develop a working prototype for Village Chiropractic, then establish it for ongoing use through separately scoped onboarding. The application will help the team prioritize requirements, assign responsibilities, organize evidence and incorporate recurring checks into daily workflows.
Second: offer the application to other clinics through a jointly owned business. Village Chiropractic contributes practical clinic insight and its influence within the profession. ai-leadership develops and delivers the web-based software.
Development funding and ownership
The proposed development value is $10,000 CAD: $5,000 cash from Village Chiropractic and $5,000 in contributed development work from ai-leadership. The latter is sweat equity, not a deferred payment. Clinic configuration, staff orientation and onboarding are separate.
Once initial contributions and agreed acceptance conditions are fulfilled, each party will own 50% of a separate product company. That company will own the original product-specific intellectual property. Existing ai-leadership materials and tools remain separately owned, with necessary licences granted to the company.
The parties will share distributable profit equally after approved costs, agreed compensation and reserves, with applicable taxes accounted for. Both will participate equally in an eventual sale, subject to agreed terms and obligations.
